2025 KTC Dealer Sales Trip Contest - Official Rules

Program Date: January 1 - December 31, 2025

FINAL DECISION
In all matters relating to the interpretation and application of any rule or phase of this program, the decision of Kubota Tractor Corporation (Kubota) shall be final. Kubota reserves the right to cancel, amend, or revoke the program or any portion of it at any time due to reasonable business consideration or circumstances beyond its control.

PROGRAM QUALIFICATION PERIOD
January 1 – December 31st, 2025

TRAVEL DATES & DESTINATION
March 9 - March 13, 2026 at Grand Velas in Los Cabos, Mexico

ELIGIBLE PARTICIPANTS
All authorized U.S. Kubota Tractor Dealers with sales agreement inception date prior to December 31st, 2023. Any dealer, who terminates or is terminated by Kubota during the program qualification period or up to the time of the travel dates, becomes ineligible effective the date of termination. Any terminated dealer should be removed from the report, including the top 15 volume report, to allow the next dealer to be recognized as a winner. Additionally, for any Buy/Sell transactions occurring before July 1, 2025, both the base and actual settlements need to be adjusted accordingly. Travelers must be Owners or Managers of record as listed on Kubota Dealer Sales and Service Agreement in the first or third paragraphs of Exhibit B or a member of the dealership that plays a significant role in the dealership business as determined by Kubota. (Any request for exception on this must be sent to KTC Division Manager after winners are announced).

ELIGIBLE SETTLEMENTS
All Wholegoods, Parts and Implements that are settled for in 2025 will count toward your 2025 year-end settlement total. In addition, all National Accounts Wholegoods, Parts, and Implements settlements in dealers LMA count toward the dealer settlement total.

CUTOFF DATE FOR SETTLEMENTS
All EFT remittances must be submitted in KOARS no later than 10:00 PM EST on December 27, 2025, in order to be processed by December 31, 2025 and count toward 2025 Dealer Sales Trip qualification.

KCC CONTRACTS AND KUBOTA LEASING
Contracts and Leases must be funded by the close of business December 31st, 2025 to be counted towards the 2025 Dealer Sales Contest. To help process as many contracts and leases as possible by year-end, a completed funding package should be received and logged by December 17th, 2025. All funding packages received after December 17th will be processed in the order received and run the risk of not funding before the December 31st, 2025 cutoff.

HOW TO WIN
Winners will be selected based upon their year-end percentage growth over the pre-determined Settlement Base, unique to each dealer. The settlement base is set at the dealer’s 2024 year-end settlement total, or the average of 2023 and 2024 settlements, whichever is greater. A minimum Base of $5,200,000 for Single Location and $9,000,000 for Multiple Location will be set for a dealer whose calculated Base falls below these amounts. For multiple location dealers, settlements represent a combined total for all stores.

LIMITATIONS OF LIABILITY
As a condition of participating in a Program and/or claiming any reward, Dealer agrees to release Kubota and its affiliates, subsidiaries, and each of their respective parents, affiliated companies, officers, directors, employees and agents from any and all liability, loss or damage incurred with respect to all aspects of the operation of a Program.

DEALER GROUPS
Dealers will be assigned to either the Single (S) location group or the Multiple (M) location group, based on ownership.

TIE BREAKER
In the case of a tie in the last position in any category, both dealers will win the trip.

SINGLE LOCATION DEALERS
Single location dealers will be assigned to one of the groups listed below based upon their pre-determined Settlement Base.
     S-1: Settlements of $10,700,000 or more
     S-2: Settlements from $8,200,000 to $10,699,999
     S-3: Settlements from $5,800,000 to $8,199,999
     S-4: Settlements from $5,200,000 to $5,799,999

MULTIPLE LOCATION DEALERS
Multiple location dealers will be assigned to one of the groups listed below based upon their pre-determined Settlement Base.
     M-1: Settlements of $24,900,000 or more
     M-2: Settlements from $16,500,000 to $24,899,999
     M-3: Settlements from $11,500,000 to $16,499,999
     M-4: Settlements from $9,000,000 to $11,499,999

NEW LOCATIONS IN 2025
     ● Completely new Entity with new location(s): Any new dealer with an inception date after December 31st, 2023 will not be part of the trip
     ● Existing KTC Entity with new Dealer Locations: Existing KTC Entities with new Dealer Locations incepted before July 1, 2025 as part of a Buy/Sell will have adjusted settlement Base for this contest. The Adjusted Base settlement calculation will include Settlements from past years for the acquired location beginning with the entire month in which the Inception Date of the new location occurs until December. The Settlements for the buying Entity will be adjusted to include units settled under the Selling Dealer’s code for that Location for the month that includes the Inception Date only. The Adjusted Base and Settlement Adjustment will be reflected on the report published in the month following the Buy/Sell.
    ● Existing KTC Entity with a new dealer location: If an entity opens a new dealer location before July 1, 2025, that is not an acquisition of a previous KTC location, the sales from the new store will be added to the entity’s settlements, and no adjustment will be made to their base since there is no base settlement for the new location

SELECTION OF WINNERS - SINGLE LOCATION
     S-1: Top 12 dealers with greatest % growth over settlement base earn a trip for two
     S-2: Top 9 dealers with greatest % growth over settlement base earn a trip for two
     S-3: Top 9 dealers with greatest % growth over settlement base earn a trip for two
     S-4: Top 6 dealers with greatest % growth over settlement base earn a trip for two

SELECTION OF WINNERS - MULTIPLE LOCATION
     M-1: Top 16 dealers with greatest % growth over settlement base earn a trip for two
     M-2: Top 8 dealers with greatest % growth over settlement base earn a trip for two
     M-3: Top 6 dealers with greatest % growth over settlement base earn a trip for two
     M-4: Top 6 dealers with greatest % growth over settlement base earn a trip for two

TOP VOLUME DEALERS - WINNERS
Top 15 dealers with the highest volume settlements of all dealer locations (single location and/or multiple locations) earn a trip for two. Dealer does not qualify in any other category. Dealers may win in one category only and may not compound trips. Any terminated dealers need to be removed from the top 15 volume list allowing the next dealer to be part of the top 15.

TOP VOLUME LAND PRIDE DEALERS (One Winner per Division)
The Top Land Pride Dealers within each Division will win a trip for 2. The winners will be determined by Dollar Volume, Circle of Pride Displays, and Implement/Attachment Take Rates. Winners will be determined by the following criteria. Dollar Volume will be divided by the total settlements in 2025 for each Dealer Entity by their total number of Land Pride Locations. Circle of Pride displays will include one per quarter, per calendar year for each Dealer Entity. Take Rate will be determined by total Implements/Attachments sold per Power Unit, for each Dealer Entity. Total dollar volume will account for 75%, Circle of Pride Displays will account for 15%, and Take Rates will account for 10%. Dollar Volume example, if a four-location Dealer Entity has 2025 Settlements of $1M, then their results would be $250,000 ($1M divided by 4). Dealer does not qualify in any other category. Dealers may win in one category only and may not compound trips.

KCC Top Volume Winner (One Winner per Division)
The Top KCC/KTAC Dealer within each Division that did not already win a Single Location, Multiple Location, or Land Pride Trip during the 2025 contest Year. To be eligible for the KCC / KTAC Trip, a Dealer must have a minimum of 50 KCC Contracts and 40 KTAC policies purchased in FY 2025. Dealers will be measured and ranked on the following KPI’s for FY 2025 results. Dealer with highest KPI point (ranking) total will win trip:
     ● KTAC Sales % (Weight 20%)
     ● KTAC Loss Ratio % (Weight 20%)
     ● KCC Penetration % (Weight 15%)
     ● KCC Funding Time (Weight 15%)
     ● KCC Portfolio 30+ DQ (Weight 25%)
     ● Dealer KCC Auction Participation (Weight 5%)
     ● Tie Breaker (if applicable) will be KTAC Sales %

PROGRAM TERMS & CONDITIONS
     ● At the conclusion of the program qualification period, dealership results of the preliminary winners will be audited. Formal notification will be sent to winning dealers upon completion of audit.
     ● Winning Dealers must have an active Kubota Dealer Number at the designated Trip date, or the Dealer Trip eligibility will be eliminated. Dealers that do not have an authorized Kubota Dealer Sales and Service Agreement in effect are not eligible to attend the Dealer Incentive Trip.
     ● Trips are non-transferable and may not be substituted for cash, nor will partial refunds be granted due to individual program modifications, and/or early program departure.
     ● Trips must be taken at the time specified by Kubota.
     ● Trip awarded is a trip for two. Should only 1 individual be able to attend, the 2 nd trip is forfeited. No exceptions made for the trip cancellation.
     ● Trips are for adults only – no one under 18 years of age is allowed.
     ● If there is a change of ownership during the program period January through December, neither the buyer nor the seller will be eligible.
     ● Any sales, rentals, or rent to sell to Kubota competitors do not count in settlement total for the contest.
     ● Kubota reserves the right, at its sole discretion, to exclude any dealer from the trip that is in either personal or business bankruptcy, receivership or is chronically non-current with its accounts with Kubota or Kubota Credit Retail Finance Agreement.
     ● Dealers in breach of the standard Kubota Sales and Service Agreement or of the standard Kubota Credit Retail Finance Agreement are not eligible. This means being in substantial compliance with your Sales and Service Agreement obligations, including Kubota’s policies, standards and business practices, and not having been issued a notice of default or termination.
     ● KTC will not reimburse any Dealer or KTC Employee for any travel arrangements or revisions confirmed without using the assigned KTC Travel Agent.

TAX LIABILITY FOR FEDERAL, STATE, OR OTHER TAXES
Federal tax form 1099 will be issued when required by IRS regulations. As such, all attendees are required to submit a W-9 (available on trip registration website) during registration and prior to ticketing for the trip. Kubota will not be responsible for any taxes incurred. Kubota does not give tax advice; please consult your tax advisor.
